1. Who these terms are between
Some businesses listed for sale on AppKade are confidential: the listing shows the numbers and a description, but not the business name, its website or who the seller is. To make an offer on one, you accept these terms. They are an agreement between you (the buyer) and the seller of that listing.
AppKade isn’t a party to this agreement. We record the date and time you accepted it with your offer, show it to the seller, and keep it for as long as we keep the offer (see the Privacy Notice).
2. What is confidential
Everything the seller shares with you about the business that isn’t public, whether on your AppKade offer page or afterwards by email, phone, a call or a document. For example:
- the business name, its website, domain, app store pages and social accounts;
- financial statements, customer and supplier details, contracts and figures beyond those on the public listing;
- source code, designs, processes and plans;
- the fact that the business is for sale, and the seller’s identity.
3. What you agree to
- Use the confidential information only to decide whether to buy the business and to negotiate and complete the purchase.
- Not share it with anyone, except advisers who need it for that purpose (such as your lawyer, accountant or a lender) and who are bound to keep it confidential. You are responsible for them.
- Not contact the business’s customers, staff, suppliers or partners about the sale without the seller’s written permission.
- Not use the information to compete with the business, copy it, or approach its customers.
- If you don’t go ahead, delete or return what the seller sent you when they ask, apart from copies the law requires you to keep.
4. What isn’t covered
Information that was already public or becomes public through no fault of yours, that you already knew or received lawfully from someone else without a duty of confidence, or that you developed independently. You may also disclose information when the law or a court requires it; tell the seller first if you’re allowed to.
5. How long it lasts
These terms last for two years from the day you accepted them, or until you buy the business, whichever comes first.
6. A formal NDA or letter of intent
These terms are a short, general agreement so that serious buyers can see a confidential business quickly. For a larger deal, the seller may ask you to sign their own non-disclosure agreement before sharing more, and both of you may want a letter of intent that sets out the price, what’s included, the timetable and any exclusivity before due diligence. Take legal advice on those documents: AppKade doesn’t provide them or advise on them.
If you and the seller sign a separate agreement about confidentiality, that agreement applies instead of these terms.
7. If the terms are broken
The seller can take action against you under Sri Lankan law, including asking a court to stop further disclosure. If a seller tells us that a buyer has broken these terms, we may stop that buyer from contacting sellers through AppKade.
These terms are governed by the laws of Sri Lanka. They don’t change the Terms of Use: AppKade isn’t part of the sale and doesn’t hold payments.
